Job Title: Legal Assistant

Location: Washington DC

Reports to: Director, Office Administration - DC and Legal Assistants Manager - NY

Exempt/Non-Exempt: Non-Exempt

Work Hours: Monday through Friday, 9:30 am – 5:30 pm (overtime as required) 


We are seeking energetic, goal-oriented and driven team-players to join our Washington, D.C. office in the role of Corporate Legal Assistant. The Corporate legal assistants assist attorneys in various stages of corporate transactions. They provide a vital service in preparing and verifying necessary documents to comply local regulations in the conduct of business activities. 

Essential Duties and Responsibilities 

Typical responsibilities include, but are not limited to, the following:

  • Draft correspondence and documentation under lawyer supervision
  • Assist with due diligence matters by organizing and reviewing documents
  • Revise, proofread and distribute draft agreements and other transactional documents
  • Prepare, distribute and collect signature pages
  • Obtain charter documents and good standing certifications from the Secretary of State in applicable jurisdictions.
  • Assist lawyers at transaction pre-closings and closings
  • Gather, organize and maintain precedent collections
  • Conduct factual research assignments and draft memoranda
  • Coordinate with internal and external working groups to facilitate litigation and transactions execution
  • Coordinate filings with the Securities and Exchange Commission and with stock exchanges
  • Coordinate hard copy filings with the Securities and Exchange Commission, Department of Justice, and other governmental agencies for all firm offices
  • Organize documents in review platforms such as Documatrix and Relativity and coordinating document productions
  • Coordinate the submission of quarterly lobbying reports and semi-annual charitable contribution reports on behalf of the firm
  • Prepare document inventories and chronologies and assist attorneys in organization and maintenance of case files in document management systems
  • Conduct cite checks and document pulls using Lexis and/or Westlaw databases
  • Provide support and take notes during telephone conferences and meetings with clients and attorneys

 Qualifications / Position Requirements

  • Ability to manage a varied workload and meet deadlines
  • Must be punctual and reliable
  • Proficient in MS Word, Excel, PowerPoint, Outlook and other applications as needed
  • Strong interpersonal skills

  • Must be able to work collaboratively with lawyers and staff, demonstrating strong teamwork and a positive attitude
  • Excellent written and verbal communication skills
  • Ability to proofread typed material for typographical, spelling and grammatical errors
  • Ensure confidentiality of all the Firm’s and clients documentation and information
  • 2 years commitment required
  • Ability to work overtime, often with little or no warning, and be available as needed
  • Excellent attention to detail
  • Ability to work well under pressure and multitask on several activities at once
  • Ability to maintain a high level of organization

Education and/or Experience 

  • College degree with a strong academic record is required
